End User License Agreement (EULA)

End User License Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and QSai, LLC ("Company") governing your use of the software, tools, and digital products made available through cisomarketplace.services ("Software"). By accessing or using the Software, you agree to be bound by this EULA.

Grant of License

Subject to the terms of this EULA and any applicable membership or purchase agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business or personal purposes.

This license does not include the right to:

• Sublicense, sell, resell, or redistribute the Software
• Modify, adapt, or create derivative works based on the Software
• Reverse engineer, decompile, or disassemble the Software
• Use the Software to build a competing product or service
• Remove or alter any proprietary notices, labels, or marks

AI-Powered Features

The Software includes AI-powered tools and features powered by third-party models including Anthropic's Claude and OpenAI's GPT-5.3-Codex and Codex Security, accessed under verified partner agreements. Use of these features is subject to the respective providers' terms of service in addition to this EULA. You acknowledge that:

• AI outputs are probabilistic and may not be accurate or complete
• You are responsible for reviewing and validating any AI-generated content before relying on it
• Inputs submitted to AI tools may be processed by third-party model providers in accordance with their data handling policies

Downloadable Products

Policy templates, assessment tools, coupon books, and other downloadable products purchased through the Platform are licensed for your internal use only. Redistribution, resale, or sharing with third parties outside your organization is prohibited unless expressly permitted in your purchase agreement.

Updates & Changes

The Company may update, modify, or discontinue features of the Software at any time. We will endeavor to provide reasonable notice of material changes. Continued use after updates constitutes acceptance of the revised Software.

Ownership

The Software, including all underlying code, interfaces, content, and AI tooling configurations, is and remains the exclusive property of QSai, LLC and its licensors. This EULA does not convey any ownership interest.

Term & Termination

This EULA is effective upon your first use of the Software and continues until terminated. The Company may terminate this EULA immediately if you breach any of its terms. Upon termination, you must cease all use of the Software and destroy any copies in your possession.

Disclaimer of Warranties

The Software is provided "as is" without warranty of any kind. The Company disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

In no event shall QSai, LLC be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software, even if advised of the possibility of such damages. Total liability shall not exceed amounts paid by you in the 12 months preceding the claim.

Governing Law

This EULA is governed by the laws of the United States and the state in which QSai, LLC is registered, without regard to conflict of law provisions.
